Trail Drive Management Corporation – Dickies Arena of Fort Worth, TX
 
Dickies Arena will be a 14,000 seat, spectacular multipurpose venue located adjacent to the Will Rogers Memorial Center campus in Fort Worth, Texas. The arena will be owned by the City of Fort Worth and managed by the not-for-profit operating entity, Trail Drive Management Corp (TDMC). The state-of-the-art arena, scheduled to open in November 2019, will host concerts, sporting events and family entertainment, and will be the new home to Fort Worth Stock Show rodeo performances.

Job Description:
 
The Legal Counsel will be responsible for providing legal advice to the staff of TDMC with respect to contractual, policy, rules, governance and litigation matters as requested by TDMC, and for leading corporate strategic and tactical legal initiatives to reduce any liability from legal threats. The role will partner with the executive management team on executing the company’s vision, goals, and strategic sustainability by providing effective legal guidance on their implementation and structure. The legal counsel will ensure that the company operates within the law, offer counsel on legal issues, create an effective guardian of the organization and facilitate business strategies development. The in-house counsel will assist with matters related to the arena operations, employee relations, marketing, different programs, pricing and promotions, and consumer protection (including customer complaints, payment types, and return policies).
 
Essential Duties (Include, but are not limited to the following):
  • Maintain a deep understanding of contract templates, contract policy, legal risk and liability, and company position on various matters
  • Drive contract lifecycle from negotiation and writing through contract agreement execution
  • Possess a strong understanding of indemnification clauses
  • Demonstrate substantive mastery of event management rights and obligations
  • Must be familiar with insurance programs, property casualty, excess workers compensation claims, be able to negotiate slip and fall cases, track liability claims, and work with brokers as well as outside legal council
  • Prepare legal opinions and provide legal support to TDMC Executive Management
  • Provide support for corporate governance activities as directed by TDMC, such as drafting resolutions and preparing board reports
  • Examine facts or evidence, correlate findings, and recommend defense or prosecution of lawsuits
  • Research statutory law and court decisions for assistance with preparation of legal opinions, briefs, or court action
  • Review regulatory decisions of the organization for legal risk, i.e. marketing matters, including events sponsorship's, labeling, and advertising issues
  • Oversee event management compliance, including regulatory compliance and safety in coordination with corporate staff
  • Oversee customer and sales channels with respect to pricing issues avoiding anti-competitive activities
  • Develop and manage relationships internally and with external partners
  • Manage outside counsel personnel handling litigation matters
  • Manage licensing processes with support from external counsel as needed
  • Guide and advise TDMC team on compliance with, and interpretation of, applicable local, state and federal laws and regulations to ensure the compliance of the website
  • Ensure implementation of data protection processes
  • Review statutes, decisions and ordinances of quasi-judicial or administrative agencies of government
  • Provide legal counselling in the areas of intellectual property, consumer law, marketing, employee relations, technology, digital media, privacy and/or regulatory compliance
  • Create and maintain research tools and to perform trend analysis
  • Project managing the implementation of legal initiatives and projects
  • Provide support to the business on other legal matters on an as-needed basis

QUALIFICATIONS:
  • J.D. degree from an accredited law school required
  • A minimum of 5 years’ experience in the practice of law in courts of record and/or as corporate legal counsel is required
  • Active and in good standing to practice law by a state bar is required, with immediate eligibility to be licensed to practice in the State of Texas
  • Specific experience with litigation strategy and trial management is required
  • Experience working on significant domestic commercial transactions, contract review and management, and  legal compliance
  • Experience as in-house and/or organizational counsel, or service in a dedicated counsel role, preferred
  • Experience with management of outside counsel and case budgeting is strongly preferred.
  • Experience working with event management arena setting preferred
  • Experience with intellectual property and marketing is a plus
  • Experience with general contract drafting and review is preferred
